1. 1. Eligibility This campaign is open to companies and organisations that purchase a Swivel software licence for a minimum of thirty (30) monthly users (“Qualifying Purchase”). The offer applies only to new licence purchases, not to renewals, upgrades, or existing agreements, unless expressly approved by Swivel in writing.

   2. Gifted Licence Upon a Qualifying Purchase, the purchasing organisation (“Purchaser”) may nominate a single registered charity, not-for-profit, or social enterprise (“Nominated Partner”) to receive a complimentary Swivel licence for up to the same number of users as in the Qualifying Purchase (“Gifted Licence”). The Gifted Licence will be provided for the same term and with the same core features, user capacity, and support as the Purchaser’s licence.

   3. Nomination Process

      • 1. The Purchaser must nominate the Nominated Partner within thirty (30) days of the original licence purchase by providing the full legal name, contact details, and proof of charitable or non-profit status to Swivel.
        2. Swivel reserves the right to verify the status and eligibility of any Nominated Partner. If the proposed organisation does not meet eligibility requirements, the Purchaser may be asked to select an alternative partner.
        3. Only one Nominated Partner may be selected per Qualifying Purchase.

   4. Activation and Term The Gifted Licence will commence upon activation by Swivel and will continue for the same period as the Purchaser’s paid licence, unless terminated earlier in accordance with these Terms. The Gifted Licence is subject to Swivel’s standard End User Licence Agreement and Privacy Policy, as well as any additional terms published from time to time.

   5. Exclusions and Limitations

      • • The Gifted Licence is not redeemable for cash, credit, or any other goods or services.
        • The Gifted Licence is non-transferable and may not be resold or exchanged.
        • Swivel reserves the right to decline or revoke a Gifted Licence if the Nominated Partner is found to be ineligible, in breach of applicable law, or in breach of Swivel’s user terms.
        • The Purchaser and Nominated Partner are each responsible for their own onboarding, use, and compliance with all relevant terms and policies.

   6. Variation and Termination Swivel may amend, suspend, or terminate the Swivel for Good campaign at any time without prior notice, provided that commitments to Purchasers with existing Qualifying Purchases will be honoured.  Swivel will not be liable for any loss or claim arising from modification or withdrawal of this campaign, except for fulfilment of Gifted Licences in accordance with these Terms.

   7. Governing Law These Terms and Conditions are governed by the laws of Victoria, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Victoria.
